These Terms of Service (the “Terms”) are an agreement between you and CYA Inc. (“CYA”, “we”, “us”) governing your use of the CYA platform — the cya.live website, the CYA mobile apps, and every feature they offer, including live streams, event chat, direct messages, Spaces, and Meet N Mix (together, the “Service”). By creating an account or using the Service you agree to these Terms, to our Community Guidelines, and to our Privacy Policy, each incorporated here by reference. If you do not agree, do not use the Service.
You must be at least 13 years old to use CYA, and at least 18 to use features that connect you with people you don’t know, such as Meet N Mix. By using the Service you confirm you meet the age requirement, that you have the legal capacity to enter into these Terms, that you have not previously been banned from the Service, and that any registration information you provide is accurate.
You keep ownership of the content you create and share on CYA — streams, video, chat messages, images, and profile information (“User Content”). You grant CYA a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and distribute your User Content solely to operate and improve the Service (for example, delivering your stream to viewers or showing your message in a chat). You are responsible for your User Content and must have the rights to everything you share.
CYA has no tolerance for objectionable content or abusive behavior. This includes, without limitation: sexual content involving minors; nudity or sexually explicit conduct in public streams or Meet N Mix; harassment, bullying, or threats; hate speech or content attacking people on the basis of a protected characteristic; graphic violence; promotion of self-harm; and content that is illegal where you or your audience are located. Posting it may result in immediate removal and permanent loss of your account.
We may remove or restrict any content, suspend or terminate any account, and restrict access to any feature at any time, with or without notice, if we reasonably believe these Terms or the Community Guidelines have been violated, or where required by law. Hosts and moderators of an event may additionally remove participants or messages from their own event.
Some events require a ticket. Ticket purchases are processed on cya.live; ticket sales may be subject to additional terms presented at purchase. Tickets are personal to your account and non-transferable unless stated otherwise. Refunds, where offered, follow the refund policy shown at the time of purchase; where an event is cancelled by its host or by CYA, we will refund the ticket price to the original payment method.
Some features — including subscriptions to a creator’s Space — are sold on a recurring basis. Subscriptions renew automatically at the interval and price shown at checkout, charged to your payment method at the start of each period, until you cancel. You may cancel at any time from the subscription’s settings; cancellation takes effect at the end of the current billing period, and you keep access until then. Except where required by law, payments already made are non-refundable, and cancelling does not refund the current period. We will give notice before any price change takes effect, and a price change applies only to periods beginning after that notice.
Where CYA offers creator monetization — ticket sales, subscriptions, shop sales, or commissions — your earnings, CYA’s platform fee, and payment-processing fees are shown in your creator dashboard and are subject to the rates in effect when the transaction occurs. Payouts are made to the payout account you connect, subject to identity and tax verification, any minimum payout threshold, and applicable holds for refunds or chargebacks. You are responsible for the taxes owed on your earnings and for the accuracy of the tax information you provide. We may withhold or reverse a payout where we reasonably believe a transaction is fraudulent, disputed, or in breach of these Terms.
Keep your credentials confidential; you are responsible for activity on your account. Do not share, transfer, or sell your account, and do not access anyone else’s. Notify us immediately at info@cya.live if you believe your account has been compromised. You can delete your account at any time in Settings (in the app or on the web). Deletion is permanent: your profile and personal data are removed, and your name is detached from past streams and messages, which may remain available in anonymized form.
You may not: interfere with or disrupt the Service; access it by automated means without permission; attempt to bypass moderation, blocks, or age restrictions; impersonate others; or use the Service to collect other users’ personal information.
The Service, its software, and its branding are owned by CYA Inc. and its licensors. Nothing in these Terms transfers any of those rights to you. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
If you believe content on CYA infringes your copyright, send a notice to info@cya.live that identifies the copyrighted work, the content you say infringes it and where to find it on the Service, your contact details, and a statement that you believe in good faith the use is not authorized and that the information in your notice is accurate. We remove content that we determine to be infringing, notify the person who posted it, and terminate the accounts of repeat infringers. If your content was removed and you believe that was a mistake, you may reply to that notice and we will review it.
We do not accept unsolicited ideas — including suggestions about advertising, promotions, new features, or ways of doing business. We may already be working on something similar. If you send one anyway, it is not submitted in confidence, we take on no obligation by considering it, and we are free to use it without compensation.
The Service may link to third-party websites or services we do not own or control. We are not responsible for their content, privacy practices, or anything you lose or suffer by relying on them. Read their terms and privacy policies before you use them.
We intend the Service to be available as much as possible, but it will be interrupted — for scheduled maintenance or upgrades, emergency repairs, or failures of equipment and network links outside our control. We do not guarantee that any live event will take place, remain available, or be free of interruption.
The Service is provided “as is” without warranties of any kind. User Content is the responsibility of the person who posted it. To the maximum extent permitted by law, CYA is not liable for indirect, incidental, or consequential damages arising from your use of the Service, and our aggregate liability is limited to the greater of the amount you paid us in the last 12 months or USD $100. Nothing in these Terms limits liability that cannot be limited by law.
You agree to defend, indemnify, and hold harmless CYA Inc., its affiliates, and their officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or connected with your use of the Service, your User Content, your breach of these Terms, your violation of any third-party right, or your violation of any law. We may assume the exclusive defense of any such claim at your expense, and you will cooperate with us in that defense.
We may update these Terms; material changes will be announced on the Service, and continued use after they take effect constitutes acceptance. We may discontinue the Service or any feature. You may stop using the Service at any time.
These Terms are governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Any dispute relating to these Terms or the Service will be resolved in the Ontario Superior Court of Justice sitting in Toronto, Ontario, and you irrevocably consent and attorn to the exclusive jurisdiction of that Court. To the extent permitted by law, you agree that disputes, claims, and causes of action arising out of or connected with the Service or these Terms will be resolved individually, without resort to any form of class action. Nothing here removes a right you have under the consumer protection law of the place you live that cannot be waived by agreement.
If we do not act on a breach of these Terms — immediately or at all — we keep every right and remedy for that breach and any later one. You may not assign or transfer your rights under these Terms; we may assign ours to an affiliate or in connection with a merger or sale of the business. If any provision is held invalid or unenforceable, the rest remain in effect. These Terms, together with the Community Guidelines and Privacy Policy, are the entire agreement between us regarding the Service and supersede any earlier agreement, including the Terms and Conditions previously published at cya.live/info/terms. The sections covering intellectual property, User Content, indemnification, disclaimers, limitation of liability, and governing law survive termination.
